Terms of Service

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the ClickReel platform, including the clickreel.io website, dashboard application, APIs, and embeddable SDK (collectively, the "Service"), operated by ClickReel, Inc. ("ClickReel," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" and "your" refer to both you individually and the organization.

If you do not agree to these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Definitions

The following terms have specific meanings when used throughout these Terms of Service:

  • "Service" — the ClickReel platform, including the clickreel.io website, dashboard application, APIs, event ingestion infrastructure, analytics features, and all related services.
  • "SDK" — the ClickReel embeddable JavaScript widget that is installed on Customer Sites to display video content, capture engagement events, and transmit data to the ClickReel ingestion service.
  • "Customer Site" — any website or web application owned or operated by you on which the ClickReel SDK is installed and active.
  • "End User" — any visitor to a Customer Site who interacts with or is exposed to the ClickReel SDK and its video content.
  • "Event Data" — engagement events collected by the SDK, including but not limited to page views, video plays, video progress milestones, call-to-action clicks, bubble interactions, and story events.
  • "Intent Score" — a numerical score from 0 to 100 calculated by the ClickReel ingestion service based on weighted Event Data, representing the estimated engagement level of an End User session.
  • "Campaign" — a configured video engagement experience created through the ClickReel dashboard, including video selection, targeting rules, trigger rules, and style configuration.

3. Account Terms

To use certain features of the Service, you must create an account. By creating an account, you agree to the following:

  • You must be at least 16 years of age to create an account and use the Service.
  • You must provide accurate, complete, and current information during registration and keep your account information up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • Each account is intended for use by a single individual. You may not share your login credentials with others. If you need multiple users, you may invite team members through the dashboard with appropriate roles (owner, admin, member, or viewer).
  • You must use a valid email address that you have access to. We use your email address for account verification, service communications, and security notifications.
  • You must promptly notify us at security@clickreel.io if you become aware of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate accounts that provide false or misleading information, or that are used in violation of these Terms.

4. Service Description

ClickReel is a software-as-a-service (SaaS) video engagement platform that enables businesses to embed interactive, shoppable video experiences on their websites. The Service consists of the following core components:

  • SDK Embedding — a lightweight JavaScript widget that renders video bubbles, reels, and interactive overlays on Customer Sites using Shadow DOM for CSS isolation.
  • Event Ingestion — a real-time event collection service that captures engagement events from the SDK, including video interactions, call-to-action clicks, and browsing behavior.
  • Intent Scoring — an automated scoring engine that calculates engagement intent based on weighted events. Scoring weights include page views (1 point), video plays (5 points), video progress milestones (5 to 20 points based on completion percentage), call-to-action clicks (25 points), and other engagement signals.
  • Ad Platform Synchronization — integration with Meta Conversions API (CAPI) and Google Ads GA4 Measurement Protocol to synchronize high-intent engagement data for ad optimization and conversion tracking.
  • Analytics Dashboard — a web-based dashboard providing real-time analytics, conversion funnels, session breakdowns, and campaign performance metrics.

5. SDK Usage Terms

Subject to your compliance with these Terms and your applicable subscription plan, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the ClickReel SDK on your Customer Sites during your active subscription period.

The SDK uses Shadow DOM technology for CSS isolation, ensuring that it does not interfere with your website's existing styles or functionality. The SDK is loaded asynchronously and is optimized for performance at under 28KB gzipped.

You agree to the following restrictions regarding your use of the SDK:

  • Branding requirements — if you are on a Starter or Free plan, you must display the ClickReel branding as rendered by the SDK. Removal of branding is available on Growth and Pro plans.
  • No reverse engineering — you may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the SDK.
  • No modification — you may not modify, adapt, translate, or create derivative works based on the SDK.
  • No redistribution — you may not distribute, sublicense, lease, or lend the SDK to any third party outside of its intended use on your Customer Sites.
  • Proper installation — you must install the SDK using the official installation methods provided in the ClickReel dashboard.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You specifically agree not to:

  • Use the Service to host, display, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
  • Scrape, crawl, or use automated means to access or collect data from the ClickReel platform beyond what is provided through the official SDK and API.
  • Attempt to bypass, circumvent, or exceed the usage limits associated with your subscription plan, including session limits, sync limits, site limits, or campaign limits.
  • Use any automated system, bot, or script to access the Service in a manner that sends more requests than a human could reasonably produce in the same period, except through the official SDK.
  • Distribute malware, viruses, or any other harmful code through video content, CTA links, or any other aspect of the Service.
  • Use the Service in a manner that violates any applicable local, state, national, or international law or regulation.
  • Deploy the ClickReel SDK on websites or pages directed at children under 16, or use the Service to knowingly collect personal information from children under 16.
  • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service.

We reserve the right to investigate and take appropriate action against anyone who violates this provision, including suspending or terminating the violator's account and reporting such activities to law enforcement authorities.

7. Data Processing

When you use the ClickReel SDK on your Customer Sites, you act as the data controller for the personal data of your End Users that is collected through the SDK. ClickReel acts as a data processor, processing End User data on your behalf and according to your instructions as configured through the dashboard.

As the data controller, you are responsible for:

  • Providing appropriate notice to your End Users about the data collection and processing that occurs through the ClickReel SDK, including updating your privacy policy to reflect the use of the Service.
  • Obtaining any necessary consents from End Users as required by applicable data protection laws in your jurisdiction.
  • Ensuring that your use of the Service and the data collected complies with all applicable privacy and data protection laws and regulations.

ClickReel will process End User data only as necessary to provide the Service and as instructed by you through your campaign and integration configurations. We will not use End User data for our own independent purposes beyond providing the Service.

8. Payment Terms

ClickReel offers the following subscription plans, each with specific features and usage limits:

  • Free / Starter — limited features with 50,000 monthly sessions, 10,000 monthly syncs, 1 site, 3 campaigns. Does not include CAPI sync or branding removal.
  • Growth ($49/month) — expanded features with 250,000 monthly sessions, 50,000 monthly syncs, 5 sites, 20 campaigns. Includes CAPI sync and branding removal.
  • Pro ($149/month) — full features with unlimited sessions and syncs, unlimited sites and campaigns. Includes all Growth features plus advanced scoring capabilities.
  • Enterprise ($499/month) — custom solutions with dedicated support, custom integrations, and guaranteed SLA.

8.1 Billing

All paid subscriptions are billed monthly in advance via Stripe. By subscribing to a paid plan, you authorize us to charge the payment method on file on a recurring monthly basis. You are responsible for ensuring that your payment information is accurate and current.

8.2 Usage Limits

Each subscription plan includes specific usage limits for monthly sessions, monthly ad platform syncs, number of sites, and number of campaigns. Usage is tracked automatically, and if you exceed the limits of your plan, certain features may be restricted until the next billing cycle or until you upgrade to a higher plan.

8.3 Refunds and Downgrades

We do not provide partial refunds for downgrades or cancellations made mid-billing cycle. If you downgrade your plan, the change will take effect at the start of the next billing cycle, and you will continue to have access to your current plan's features until then.

8.4 Price Changes

We reserve the right to change our pricing at any time. For existing subscribers, we will provide at least 30 days' advance written notice of any price changes. The new pricing will take effect at the start of the next billing cycle following the notice period.

9. Intellectual Property

The Service, including the SDK, dashboard, APIs, documentation, algorithms, software code, user interface designs, trademarks, and all related intellectual property, is owned by ClickReel, Inc. and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted in these Terms are reserved by ClickReel.

9.1 Your Content

You retain all ownership rights to the content you upload, create, or provide through the Service, including your videos, website content, campaign configurations, and brand assets. By using the Service, you grant ClickReel a limited, non-exclusive, worldwide license to use, reproduce, and process your content solely for the purpose of providing and operating the Service on your behalf.

9.2 Feedback

If you provide us with feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you acknowledge that we are free to use, implement, and incorporate such Feedback without any obligation to you, and that such Feedback shall become the property of ClickReel. You hereby assign to ClickReel all rights, title, and interest in and to any Feedback you provide.

10. Confidentiality

We understand the importance of protecting your confidential information. When you provide integration credentials (such as Meta CAPI access tokens, pixel IDs, Google Ads API keys, or measurement IDs), these credentials are encrypted using AES-256-GCM encryption with PBKDF2-derived keys and unique per-credential salt and initialization vectors.

ClickReel will not access your ad platform accounts except as strictly necessary to perform the synchronization functionality that you have configured. We will not use your integration credentials for any purpose other than executing the data transmissions you have authorized through the Service.

Each party agrees to treat the other party's confidential information with at least the same degree of care that it uses to protect its own confidential information of a similar nature, but in no event less than a reasonable standard of care. Confidential information shall not include information that is publicly available, was already known to the receiving party, is independently developed without reference to the disclosing party's confidential information, or is rightfully received from a third party without restriction.

11. Service Level

ClickReel strives to provide reliable, high-performance service availability. However, the following terms apply:

  • Best-effort availability — we aim to maintain high uptime for all Service components, including the dashboard, ingestion API, and SDK delivery, but we do not guarantee any specific uptime percentage for non-Enterprise plans.
  • Enterprise SLA — customers on Enterprise plans receive a separate Service Level Agreement with defined uptime guarantees, response times, and remedies for service disruptions.
  • Scheduled maintenance — we may perform scheduled maintenance that temporarily affects Service availability. We will provide reasonable advance notice of scheduled maintenance windows whenever possible.
  • Force majeure — we shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, wars, riots, pandemics, internet or telecommunications failures, or third-party service disruptions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

IN NO EVENT SHALL CLICKREEL, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF CLICKREEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLICKREEL'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO CLICKREEL DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability, so the above limitations may not apply to you to the extent prohibited by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless ClickReel, Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service, including the deployment of the SDK on your Customer Sites.
  • Any content you upload, create, or distribute through the Service, including video content, CTA destinations, and campaign configurations.
  • Any claims by your End Users related to data collection, privacy, or engagement tracking performed through the ClickReel SDK on your Customer Sites.
  • Your violation of these Terms, any applicable law, regulation, or the rights of any third party.
  • Any misrepresentation by you regarding your authority to bind an organization to these Terms.

We will promptly notify you of any such claim and will provide you with reasonable cooperation in the defense of the claim at your expense. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

14. Termination

You may cancel your account and terminate your subscription at any time through the account settings in the ClickReel dashboard. Upon cancellation:

  • Your access to paid features will continue until the end of your current billing cycle.
  • Your account data, including campaign configurations, analytics history, and integration settings, will be retained for 30 days following cancellation to allow for account recovery or data export.
  • After the 30-day retention period, all account data will be permanently deleted from our systems.
  • The SDK will cease to function on your Customer Sites once your account is deactivated.

We may suspend or terminate your account and access to the Service at our discretion if we reasonably believe that you have violated these Terms. Except in cases of egregious violations or where immediate action is required to protect other users or the integrity of the Service, we will provide at least 7 days' notice before terminating your account for a Terms violation, along with an explanation and opportunity to remedy the issue.

The following sections shall survive termination of these Terms: Definitions, Intellectual Property, Confidentiality, Limitation of Liability, Indemnification, and General Provisions.

15. General Provisions

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions.

15.2 Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Wilmington, Delaware. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

15.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

15.4 No Waiver

The failure of ClickReel to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of ClickReel.

15.5 Entire Agreement

These Terms, together with the Privacy Policy, GDPR Compliance page, and any applicable Data Processing Agreement or Enterprise SLA, constitute the entire agreement between you and ClickReel regarding the Service and supersede all prior agreements, representations, and understandings.

15.6 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. ClickReel may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, provided that the assignee agrees to be bound by these Terms.

15.7 Modifications and Notices

We will provide at least 30 days' advance notice of material changes to these Terms by sending an email to the address associated with your account. Non-material changes may be made at any time and will be indicated by an updated "Last Updated" date on this page.
